KBR is an unregulated provider of corporate finance advisory and asset advisory services. We operate our business strictly within the limits imposed to us by applicable law. For this reason, our services to our clients will not include any banking business, any investment services and activities within the meaning of the Directive 2004/39/EC of the European Parliament and the Council of 21 April 2004 on markets in financial instruments, OJ L 145 as of 30 April 2004, pp. 1 et seq., as amended from time to time (“MiFiD”) or any other services for which any regulatory or governmental authorization, license or registration is required under any applicable law (together “Regulated Services”). In particular, we will not provide any investment advice or agency or brokerage services or portfolio management services in respect of financial instruments within the meaning of the MiFiD. In the event that the services asked for by our clients should include any Regulated Services, we cooperate with our clients in order to find solutions that allow us to continue to work together with our clients without rendering Regulated Services and yet meet our clients’ needs to the best extent possible.
